Terms of Service
The ground rules.
These terms govern your use of Merid — the website at usemerid.com, the app at app.usemerid.com, and the MCP endpoint your AI tools connect to (together, the "Service"). By creating an account or using the Service you agree to them. "Merid", "we" and "us" mean the operator of the Service; "you" means the person or organisation using it.
1. Your account
You sign in with a Google account and must be at least 13 years old. You're responsible for activity under your account, including anything done by AI tools you've connected to it. If you're using Merid on behalf of a company, you confirm you're allowed to bind it to these terms, and "you" includes that company.
2. Plans, billing and cancellation
- Free includes unlimited personal projects. Viewing, commenting and share links are free on every plan — we charge the people who build diagrams, never the people who review them.
- Pro is one flat subscription per account (currently US$12/month) that covers every editor you invite on up to 10 shared projects. It's billed in advance each month through Stripe and renews automatically until you cancel.
- You can cancel any time from the billing portal in the app; Pro stays on until the end of the period you've paid for. We don't refund partial periods unless the law where you live requires it.
- If we change prices we'll give you at least 30 days' notice before the new price applies to you. Taxes may be added where required.
- If a payment fails we'll retry it and may downgrade the account to Free; your content stays put, but shared projects beyond the Free limits may become read-only until billing is sorted.
3. Your content
You own what you create in Merid. You give us only the licence we need to run the Service: to store your content, back it up, display it to you and to the people you share it with, render it into images on request, and make it available to the AI tools you connect. We don't sell your content, use it in advertising, or train models on it. You're responsible for having the rights to anything you put into Merid.
4. Sharing and collaboration
Inviting members and creating share links is your choice and your responsibility. A share link lets anyone who has it view that project without an account — share it accordingly. Project owners control who has access and can remove members or links at any time.
5. Connected AI tools
Merid lets you connect AI tools to your sheets over MCP, using API tokens or OAuth. Those tools act on your behalf: proposals they make, comments they post, and changes you approve are yours. Keep your tokens private, revoke any you no longer use, and note that what an AI tool does with content it reads is governed by that tool's provider, not by us. We may rate-limit automated access to keep the Service healthy for everyone.
6. Acceptable use
Don't use the Service to:
- break the law, or infringe anyone's intellectual-property, privacy or other rights;
- upload malware, or try to probe, scrape, overload or break into the Service or other users' accounts;
- circumvent plan limits or rate limits, or resell the Service without our agreement;
- harass other users or post content that's hateful, abusive or illegal.
We may suspend or remove content or accounts that violate these rules.
7. Our service
We work hard to keep Merid available and your content safe, and we keep backups. Still, the Service is provided "as is" and we can't promise it will always be available, error-free or fit for a particular purpose. We may change, add or retire features; if we ever discontinue the Service we'll give you reasonable notice and a way to get your content out. Diagrams and AI proposals are tools to help you think — you remain responsible for the decisions you make with them.
8. Intellectual property
Merid — the software, design, brand and documentation — belongs to us and our licensors. We give you a limited, non-exclusive, non-transferable right to use it under these terms. Feedback you send us may be used without obligation to you.
9. Ending things
You can stop using Merid and ask us to delete your account at any time by emailing us. We may suspend or terminate accounts that violate these terms or put the Service or other users at risk; where practical we'll warn you first. Sections that by their nature should survive (your content ownership, disclaimers, limitation of liability) survive termination.
10. Limitation of liability
To the fullest extent the law allows, Merid won't be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising out of your use of the Service. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim and US$50. Some jurisdictions don't allow these limits, so they may not fully apply to you.
11. Indemnity
If your content or your use of the Service in breach of these terms leads to a claim against us, you'll cover the reasonable costs and damages that result.
12. Governing law and disputes
These terms are governed by the laws of the United States and of the state in which Merid's operator is based, without regard to conflict-of-law rules. If we have a disagreement, email us first — most things can be sorted out in a conversation. Anything that can't be will be resolved in the courts of that state, and you agree to their jurisdiction.
13. Changes to these terms
We may update these terms from time to time. For material changes we'll give notice in the app or by email before they take effect; the date at the top always shows the current version. Using the Service after the change takes effect means you accept the new terms.
